Your access to and use of the Service is conditioned on your acceptance of and compliance with these terms. These terms apply to all visitors, users and others who access or use the Service.

By accessing or using the service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.

1.0 Membership

1.1 Your Proposl membership will run on a month-to-month basis until its terminated. If you fail to cancel your membership before your monthly renewal date, you authorise us to charge your next month’s membership fee to your payment card – Our cancellation process can be found below.

1.2 The Proposl service is an online tool which you must have Internet access for and a compatible web browser, you must also provide us with a current, valid, credit or debit card, which you may update from time to time. You can find specific details regarding your membership and payment plan with Proposl by visiting our website and clicking on the setting link and then access the billing tab.

2.0 14-day Free Trials

2.1. All of our first-time users will be offered a free 14-day trial – You must register for a free trial; this isn’t automatically provided. The free trial period of your membership lasts for 14 days, this is to give you access to the full system to use within the period of 14 days prior to taking out a subscription. You will be notified during sign-up whether you are eligible for a free trial.

2.2. Once the free trial period has ended you will no longer be able to access any of the system unless you choose to take out a monthly plan. Your period of free trial remaining will always be displayed at the top of the screen on the website once logged in.

3.0 Billing, Cancellations & Refunds

3.1. Monthly Billing Cycle. The membership fee for our service will be billed and debited on a monthly basis to your preferred debit or credit card on the calendar day corresponding to the commencement of your paid membership. If you join on a weekend or bank holiday this may affect the billing cycle and payment wont be processed until the next working day.

3.2. Credit/Debit card changes. You can change your preferred method of payment by visiting our website and clicking on the billing link within your account. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not change your preferred method of payment or cancel your account, we may suspend your access to the service until we have obtained a payment. You authorise us to continue billing the preferred, method of payment as it may be updated, and you remain responsible for any uncollected amounts. This may result in a change to your payment billing dates.

3.3. Cancellation. You can cancel your membership to Proposl at any time, and you will continue to have access to the service through to the end of your monthly billing period. We do not provide refunds or credits for any partial-month membership periods. To cancel, go to the billing section page and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period.

3.4. Changes to the Price and Service Plans. We may change our service plans and the price of our service from time to time; however, any price changes or changes to our service plans will apply to you no earlier than 14 days following email notice to you.

3.5. Under no circumstances will refunds be given, you will however continue to have access to your subscription until the end of the monthly billing cycle should you cancel mid-month. Each subscription provider reserves the right to offer refunds, discounts or other consideration in select circumstances at its sole discretion. Please note that each circumstance is unique and election to make such an offer in one instance does not create the obligation to do so in another.

5.0 Safeguarding and Security Breaches

Proposl shall assist you in complying with the statutory obligations regarding the security and protection of personal data and shall make appropriate documentation in this regard. This includes, in particular, the obligation:

(a) to ensure an appropriate level of protection through technical and organizational measures that take into account the circumstances and purposes of the Processing as well as the projected probability and severity of a possible infringement of the law as a result of security vulnerabilities and that enable an immediate detection of relevant infringement events;

(b) to notify you as soon as possible under after having become aware of any accidental, unauthorized, or unlawful destruction, loss, alteration, or disclosure of, or access to, Personal Data (“Security Breach”). In consultation with you, Proposl shall take appropriate measures to secure the data and limit any possible detrimental effect on the Data Subjects.

(c) to co-operate with you and provide you with any information which you may reasonably request relating to the Security Breach.

(d) to assist you by appropriate measures about your obligation to inform Data Subjects and competent authorities in case of a Security Breach; and

(e) to assist you with regard to your obligation to provide information to the Data Subject concerned and to provide you with all relevant information in this regard as soon as possible.

6.0 Deletion of Personal Data

6.1. Proposl shall promptly notify you if Proposl receives a request from a Data Subject to exercise the Data Subject’s right of access, right to rectification, restriction of Processing, erasure (“right to be forgotten”), data portability, object to the Processing, or its right not to be subject to an automated individual decision making.

6.2. Proposl shall assist you by appropriate technical and organizational measures, insofar as the right to be forgotten is possible, for the fulfilment of your obligation to respond to a Data Subject’s request under the General Data Protection Regulation 2016/679. The obligation to delete the Data Subject’s data shall, at all times, remain with you. For the avoidance of doubt, Proposl will not undertake any data deletion efforts for and on behalf you.

7.0 Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

8.0 Governing Law

These Terms shall be governed and construed in accordance with the laws of United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

9.0 Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 14 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
